THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (HEREINAFTER “YOU” OR “YOUR”) AND Omnilab Enterprise Solutions (ALONG WITH ITS AFFILIATES, SUCCESSORS AND ASSIGNS) (HEREINAFTER “Omnilab Enterprise Solutions” /OLES/ “WE,” “US,” OR “OUR”) GOVERNING YOUR USE OF OMNILAB ENTERPRISE SOLUTIONS SERVICES AND COLLABORATION PRODUCTS AND SOFTWARE.

Terms and Conditions
By electronically accepting this Agreement or by establishing a Omnilab Enterprise Solutions account or using the Service after the Effective Date of these Terms, You consent and agree to comply with the Agreement including these Terms. Unless You have chosen one of our International Services which expressly excludes one or more of the following Service Schedules, this Agreement includes and You are consenting to the terms and conditions set forth herewith.
By agreeing  to these Terms., You are doing so on behalf of Yourself and any person that You entitle or authorize to use Your Omnilab Enterprise Solutions account (each  “User” of Your Omnilab Enterprise Solutions account), as well as on behalf of Your Customer(s) and Your Vendor(s). You are responsible for obtaining all consents and authorizations needed to accept this Agreement for others.

Acceptance of Terms
You must be of legal age to enter into a binding agreement in order to accept the Agreement. By accessing or using Omnilab Enterprise Solutions, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you should not use our product.

Omnilab Enterprise Solutions is known for its extensive IT consulting and advisory services, including Saas, mobile application developments, engineering turn-key enterprise solutions, ERP, cloud engineering, automation tools as well as offering cybersecurity. OmniLab Enterprise Solutions is also known for its robust use of technology, including AI and RPA and key differentiators centered around robust cybersecurity, ensuring seamless productivity and safeguarding critical assets. The Information Security Policy outlines our commitment to safeguarding confidentiality, integrity, and availability of information on the OLES website, aligning with our dedication to technology-driven excellence and maintaining the safety of all assets.

User Obligation

• You need to sign up for a user account by providing all required information in order to access or use the Services. If you represent an organization and wish to use the Services for corporate internal use, we recommend that you, and all other users from your organization, sign up for user accounts by providing your corporate contact information. In particular, we recommend that you use your corporate email address.
• You agree to: (i) provide true, accurate, current and complete information about yourself as prompted by the sign-up process; and (ii) maintain and promptly update the information provided during sign up to keep it true, accurate, current, and complete.
• If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if Omnilab Enterprise Solutions has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, Omnilab Enterprise Solutions may terminate your user account and refuse current or future use of any or all of the Services.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree not to use the Services for illegal purposes or for the transmission of material that is unlawful, defamatory, harassing, libelous, invasive of another’s privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or is otherwise objectionable, offends religious sentiments, promotes racism, contains viruses or malicious code, or that which infringes or may infringe intellectual property or other rights of another.
• You must notify us immediately of any unauthorized use or security breach of your account.

Restrictions
Under the Omnilab Enterprise Solutions Terms of Service, you confirmed that you will not use the Omnilab Enterprise Solutions service in connection with the following businesses or business activities. The following list is representative but not exhaustive.

• Omnilab Enterprise Solutions does not allow its services to be used to promote hate, violence, or other forms of intolerance that are discriminatory
• Gambling: Any activities related to the provision of gambling services
• Get Rich Quick Schemes: Investment opportunities or services that promise high rewards
• Multi-Level Marketing: Pyramid schemes, network marketing, referral marketing, affiliate marketing
• Adult Content and Services: Pornography, obscene materials, sex related services, dating or marriage services
• Drug Paraphernalia and related products: Retail sales for the purpose of production and/or distribution of illegal substances or services, substances designed to mimic illegal drugs.
• Illegal Activities: Counterfeit/unauthorized goods, intellectual property or proprietary rights infringement
• Practices inconsistent with intended use or otherwise prohibited by the General Terms & Conditions

Free Trial
If you register for a free trial, Omnilab Enterprise Solutions will make the applicable Services available to you on a trial basis free of charge until the earlier of (i) the end of the free trial period of the applicable Services (unless terminated earlier by you), (ii) the start date of the paid subscription period for the applicable Services, or (iii) termination by Omnilab Enterprise Solutions in its sole discretion. Any data that you enter into the Services, and any customizations made to the Services during the free trial will be permanently lost unless you (i) purchase the corresponding paid subscription plan for the account, (ii) purchase applicable Service upgrades, or (iii) export such data before the end of the trial period. Notwithstanding anything contained in this Section, Services are offered as-is during the free trial, without any warranty, covenant, support or liability whatsoever, to the extent permitted by law.

Fees and Payments

• The Services are available under the monthly subscription plan. Your subscription will be automatically renewed at the end of each subscription period unless you downgrade your paid subscription plan to a free plan or inform us that you do not wish to renew the subscription. At the time of automatic renewal, you will get a maximum 14 days grace period to make the payments of subscriptions fee. Failure to make the payment within the grace period will result in discontinuation of service and your access will be removed from the account. The payment can be made using the SSL gateways. If you do not wish to renew the subscription, you must inform us at least seven days prior to the renewal date.
• From time to time, we may change the price of any Service or charge for use of Services that are currently available free of charge. Any increase in charges will not apply until the expiry of your then current billing cycle. You will not be charged for using any Service unless you have opted for a paid subscription plan.
• In the event any tax such as VAT, sales tax or the like is chargeable by Omnilab Enterprise Solutions in accordance with any local, state, provincial or foreign laws with respect to your subscription to our Services (“Taxes”), We will invoice you for such Taxes. You agree to pay Omnilab Enterprise Solutions such Taxes in addition to the subscription fees.

Intellectual Property
a. All content and materials available on the product, including but not limited to text, graphics, logos, images, videos, and software, are the property of Omnilab Enterprise Solutions or its licensors and are protected by intellectual property laws.
b. You may not modify, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any content or materials from the product without our prior written consent.

Third-Party Services Clause
Through the Service, you may access third-party websites, databases, networks, servers, software, systems, or products (collectively, “Third-Party Services”). Omnilab Enterprise Solutions does not control these Third-Party Services and is not responsible for their content, operation, or use. Providing access to these services does not imply any warranty or endorsement regarding their legality, accuracy, or quality. Third-Party Services might have their own terms of use and privacy policies, which differ from Omnilab Enterprise Solutions’s. It is your responsibility to review these terms before use, and you use them at your own risk. Omnilab Enterprise Solutions is not liable for any harm or security risks arising from your use of Third-Party Services, including viruses or malware. If you download software as part of the Service, it may include third-party components subject to their own licenses. Your rights to use this software may extend beyond the terms of this Agreement, according to the separate third-party license terms.

Disclaimer of Warranty

• You expressly understand and agree that the use of the services is at your sole risk. The services are provided on an as-is-and-as-available basis. Omnilab Enterprise Solutions expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
• Omnilab Enterprise Solutions makes no warranty that the services will be uninterrupted, timely, secure, or error free. Use of any material downloaded or obtained through the use of the services shall be at your own discretion and risk and you will be solely responsible for any damage to your computer system, mobile telephone, wireless device or data that results from the use of the services or the download of any such material.
• No advice or information, whether written or oral, obtained by you from Omnilab Enterprise Solutions, its employees or representatives shall create any warranty not expressly stated in the agreement.
• Experimental “beta” features are offered without any warranty and may be modified or discontinued at Omnilab Enterprise Solutions’s discretion. The disclaimer applies fully to these beta features.

Limitation of Liability
You agree that Omnilab Enterprise Solutions shall, in no event, be liable for any consequential, incidental, indirect, special, punitive, or other loss or damage whatsoever or for loss of business profits, business interruption, computer failure, loss of business information, or other loss arising out of or caused by your use of or inability to use the service, even if Omnilab Enterprise Solutions has been advised of the possibility of such damage.

Indemnification
You agree to indemnify and hold harmless Omnilab Enterprise Solutions, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney’s fees and costs) arising out of or relating to any claims that you have used the services in violation of another party’s rights, in violation of any law, in violations of any provisions of the agreement, or any other claim related to your use of the services, except where such use is authorized by Omnilab Enterprise Solutions.

Modification of Terms
We reserve the right to modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting the updated Terms on our product. Your continued use of our service after such changes shall constitute your acceptance of the modified Terms.

Termination

• Omnilab Enterprise Solutions reserves the right to suspend or terminate Your account or Your access to the Service at any time, for any reason (including for a violation of this Agreement, the failure to pay applicable Service Fees, or inactivity), in our reasonable discretion, without Omnilab Enterprise Solutions incurring any liability to You. If We suspend or terminate Your account or access to the Service, We will use commercially reasonable efforts to provide notice to You, but will not be required to do so and will not be liable for failure to do so.
• We may suspend your user account or temporarily disable access to the whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts should be made to support@Omnilab Enterprise Solutions.com within thirty days of being notified about the suspension. We may terminate a suspended or disabled user account after thirty days. We will also terminate your user account on your request.
• You may request to deactivate a User or cancel Your Omnilab Enterprise Solutions account at any time by submitting a request through your Omnilab Enterprise Solutions account or through Our customer support portal.

General
Force Majeure: Omnilab Enterprise Solutions will not be liable for any delay or failure to perform any obligation related to the Service if the delay or failure is due to unforeseen events that are beyond Omnilab Enterprise Solutions’s reasonable control, such as strikes, blockade, war, terrorism, riots, natural disasters, epidemic, or governmental action.
Waiver: The waiver of any default or breach of this Agreement will not constitute a waiver of any other or subsequent default or breach. Except as otherwise stated in this Agreement, the exercise of any remedy under this Agreement will be without prejudice to other remedies available under this Agreement or otherwise.
Severability: In the event any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of the Agreement will remain in full force and effect.
No Agency: Except as otherwise expressly provided in Our Agreement with You, nothing in this Agreement, will be construed to create a partnership, joint venture, agency or fiduciary relationship between You and Omnilab Enterprise Solutions.
Entire Agreement: This Agreement constitutes the complete and exclusive agreement between You and Omnilab Enterprise Solutions concerning the Service and supersedes all other agreements or understandings, written or oral, about the Service.

Governing Law and Jurisdiction
This Agreement and all matters arising out of or relating to this Agreement, including any disputes between You and Omnilab Enterprise Solutions, will be governed by the laws of People’s Republic of Bangladesh, as applicable, without regard to its conflicts of law provisions and You And OLES agree that every except as provided below, any dispute, claim, or controversy arising out of or relating in any way to the service, the Website, or this agreement (A “Claim”) will be resolved on an individual basis by binding arbitration. The United Nations Convention on Contracts for the International Sale of Goods will not apply to any matters arising out of or relating to this Agreement.
